This Employment Agreement ("Agreement") is entered into on this 2nd day of February, 2026

a limited liability partnership incorporated under the laws of India, having its registered office at 1-98-8-C-10, Plot No. 13A, Arunodaya Colony, FIITJEE Lane, Shaikpet, Hyderabad, Telangana, India – 500081 (hereinafter referred to as the "Company" or "Employer", which expression shall, unless repugnant to the context or meaning thereof, include its successors and permitted assigns);

The Company operates multiple business verticals, including pharmaceutical marketing and distribution through its TrPharma division, and the Employee is being engaged to support such business activities.

1Appointment & Designation

1.1 The Employee is appointed as Medical Representative (Medical Representative / Territory Business Manager / Zonal Manager / Field Executive).

1.2 The employment is full-time and field-based in nature.

1.3 The Employee shall report to such manager or authority as designated by the Company from time to time.

2Nature of Employment (Field Role)

2.1 The Employee acknowledges that this role is primarily field-oriented, involving:

  • Doctor and chemist visits
  • Territory development and coverage
  • Product promotion strictly as per ethical and legal norms
  • Market intelligence, reporting, and follow-ups

2.2 There are no fixed office working hours. Working hours shall be aligned with field requirements, doctor availability, and business needs.

3Territory & Place of Work

3.1 The Employee shall operate from the assigned HQ / territory: Territory, as communicated by the Company.

3.2 The Company reserves the right to change the Employee's territory, HQ, reporting structure, or area of coverage based on business requirements.

3.3 Such changes shall not be deemed a change in employment terms or conditions.

4Probation

4.1 The first 3 Months of employment shall be considered a probationary period.

4.2 During probation, employment may be terminated by the Company with or without notice, in accordance with Company policy.

4.3 Confirmation after probation shall be at the sole discretion of the Company.

5Duties & Performance

5.1 The Employee shall:

  • Perform duties honestly, diligently, and efficiently
  • Follow all Company instructions, SOPs, and policies
  • Submit daily, weekly, or periodic field and performance reports

5.2 Performance expectations or targets, if any, shall be communicated separately and shall not form part of this Agreement.

6Compensation

6.1 The Employee shall be paid compensation as detailed in Annexure A.

6.2 Any incentives, bonuses, or variable pay shall be governed by separate Company policies, which may be revised from time to time.

6.3 All payments shall be subject to statutory deductions as applicable under law.

7Expenses & Reimbursements

7.1 Field-related travel and other expenses shall be reimbursed strictly in accordance with the Company's Expense Policy.

7.2 Submission of false, inflated, or misleading expense claims may result in disciplinary action, including termination.

8Attendance, Reporting & Company Systems

8.1 Attendance and field activity shall be recorded through Company-designated systems, including portals, mobile applications, or reporting tools.

8.2 Company systems shall be treated as the final and authoritative source of records.

8.3 Failure to mark attendance or submit field reports may be treated as misconduct.

9Ethical Conduct & Regulatory Compliance

9.1 The Employee shall strictly comply with:

  • Drugs & Cosmetics Act and applicable rules
  • Ethical pharmaceutical marketing standards
  • All Company policies and SOPs

9.2 The Employee shall not:

  • Offer cash, gifts, inducements, or unlawful benefits
  • Engage in off-label or unethical promotion
  • Misuse samples, schemes, or Company property

Any violation may result in immediate termination.

10Confidentiality

10.1 The Employee shall maintain strict confidentiality, during and after employment, with respect to:

  • Doctor and chemist data
  • Pricing, schemes, PTR / PTS
  • CRM, ERP, reports, and business information

10.2 Confidentiality obligations shall survive termination of employment.

11Non-Solicitation

11.1 During employment and for a period of 12 months after separation, the Employee shall not:

  • Solicit or attempt to solicit the Company's doctors, chemists, or clients
  • Induce or attempt to induce Company employees to leave employment

This clause is reasonable and enforceable under Indian law.

12Intellectual Property

12.1 All work products, reports, data, and materials created during employment shall be the exclusive property of the Company.

13Termination

13.1 After confirmation, either party may terminate employment by providing 30 Days written notice or salary in lieu thereof.

13.2 Training Cost Recovery: The Employee acknowledges that the total cost of training and resources provided is valued at Rs. 40,000 (Forty Thousand Rupees). In the event that the Employee voluntarily resigns or leaves the employment before completing the Agreement Period, he/she agrees to reimburse the Employer for the training cost of Rs. 40,000. This amount shall be recoverable either from the final settlement or by other lawful means. If the Employer terminates the Employee's employment without cause after the probationary period, this recovery clause shall not apply.

13.3 In case the Employer terminates the employment after probation period without just cause, the Employer shall provide the Employee with advance notice of termination or compensation in lieu of notice equal to one (1) month.

13.4 The Employee may terminate the employment at any time by providing the Employer with at least two (2) months advance notice of his/her intention to resign after the Agreement Period.

13.5 The employment shall terminate automatically on the last day of the month in which the date of the Employee's death occurs; or the date on which the Company gives notice to the Employee if such termination is for Cause or Disability.

13.6 Definition of "Cause": For purposes of this Agreement, "Cause" means:

  • Gross misconduct resulting in material damage to the Company
  • Wilful insubordination or disobedience
  • Theft, fraud, or dishonesty
  • Wilful damage or loss of Employer's property
  • Bribery
  • Habitual lateness or absence
  • Any other willful and material breach of this Agreement

14Company Policies

14.1 The Employee agrees to comply with all Company policies as published in CHINAR (the Company's HR and Policy Portal), including but not limited to:

  • Leave Policy (leave entitlements, application process, encashment rules)
  • Attendance Policy
  • Expense & Reimbursement Policy
  • Code of Conduct
  • POSH Policy
  • Department-specific SOPs (as applicable)

14.2 Leave entitlements and rules shall be governed by the Company's Leave Policy as published in CHINAR's Policy Hub. The current policy provides for Sick Leave (12 days), Casual Leave (12 days), National Holidays (9 days), and Earned Leave (15 days after 240 days of service).

Such policies may be amended by the Company from time to time, and updated versions shall be made available in CHINAR.

15Governing Law & Jurisdiction

This Agreement shall be governed by the laws of India, and the courts at Hyderabad, Telangana shall have exclusive jurisdiction.

16Entire Agreement

This Agreement, together with its annexures, constitutes the entire understanding between the Company and the Employee and supersedes all prior communications.
